MDBill is a product of AcerHealth Inc.
These Terms and Conditions constitute a binding agreement between you and AcerHealth Inc. regarding your use of MDBill, a digital platform that enables patients and healthcare organizations to manage medical payments and billing transactions electronically. By accessing the MDBill website (mdbill.io), creating an account, or using any features, tools, integrations, or services provided through the platform (collectively referred to as the “Services”), you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not accept these Terms, you must discontinue all use of the Services immediately.
MDBill is owned and operated by AcerHealth Inc., a United States–based healthcare technology company that develops secure payment and billing solutions for healthcare providers, billing teams, and patients. These Terms apply to every user of the platform unless a separate written agreement, such as a Business Associate Agreement or service contract, supersedes specific provisions.
1. Use of the Services
You may use MDBill only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations, including healthcare, consumer protection, data privacy, and financial transaction rules. By using the Services, you represent that you are at least eighteen years of age or are accessing the platform with the consent and supervision of a legally responsible guardian.
Users agree not to misuse or interfere with any part of the platform. This includes, but is not limited to, attempting fraudulent billing, introducing false or misleading information, circumventing security features, attempting unauthorized access to MDBill’s servers or databases, disrupting system performance, or using automated tools or scripts to interact with the platform in unauthorized ways. Any attempt to manipulate, exploit, or compromise the integrity, security, or functionality of MDBill may result in immediate termination, legal action, or both.
2. Submissions and Ownership of Content
If you transmit or upload any content to MDBill, including messages, ideas, feedback, design suggestions, support inquiries, or other materials (“Submissions”), you acknowledge that such submissions are made voluntarily and that MDBill is not obligated to treat them as confidential. You further agree that AcerHealth Inc. shall own all rights, title, and interest in any Submissions you provide, regardless of the form or method of communication.
By providing Submissions, you grant AcerHealth unrestricted rights to use, modify, publish, distribute, and implement such content for operational, developmental, commercial, or any other lawful purpose without the requirement to provide compensation, attribution, or future acknowledgment. You waive all claims related to intellectual property rights or ownership of Submissions.
3. Feedback and Suggestions
If you provide feedback, recommendations, or suggestions aimed at improving MDBill (“Suggestions”), such input automatically becomes the exclusive property of AcerHealth Inc. without limitation. You acknowledge and agree that AcerHealth may freely use, incorporate, or develop such Suggestions without compensation and without restriction or obligation of any kind.
4. Account Registration and Termination
Certain features of MDBill require user account creation. When registering, you agree to submit accurate, complete, and up-to-date information. You are fully responsible for maintaining the confidentiality of your account credentials, including passwords and authentication methods, and for all activities conducted using your account. You must promptly notify MDBill if you suspect unauthorized access or any potential breach of security.
AcerHealth reserves the right to suspend or terminate your account without prior notice if we determine that you have violated these Terms, engaged in unlawful or fraudulent activity, failed to pay required fees, compromised platform security, or otherwise acted in a manner inconsistent with operational integrity. Termination may result in restricted access to your data, payment history, or saved records. The decision to terminate or suspend an account is at the sole discretion of AcerHealth and may be taken to ensure system protection and compliance obligations.
5. HIPAA Compliance and Healthcare Data
MDBill may receive and process personal information and healthcare-related data that may qualify as Protected Health Information (PHI). Healthcare providers using MDBill for payment collection or billing-related workflows must comply with all applicable provisions of the Health Insurance Portability and Accountability Act (HIPAA).
5.1 HIPAA Safeguards
MDBill maintains appropriate administrative, technical, and physical safeguards to protect PHI consistent with HIPAA standards. This includes secure access controls, encrypted transmission of sensitive information, and policies designed to prevent unauthorized disclosure. However, AcerHealth does not control how healthcare organizations gather, record, verify, or transmit information prior to its arrival on the platform.
5.2 User Responsibilities
Healthcare providers are solely responsible for ensuring that they have the legal right to submit PHI, including obtaining patient consent where required. Patients must ensure that any information they voluntarily provide is accurate and lawful. The accuracy, authorization, and legality of all data submitted through MDBill rest with the submitting user, not with AcerHealth Inc.
6. Payment and Billing Terms
When purchasing subscription plans, processing payments, or using paid features, you authorize MDBill to charge your chosen payment method. You must maintain valid billing information at all times, and you agree that MDBill may use approved third-party payment processors to facilitate transactions.
MDBill does not store full credit card numbers, CVV details, or other sensitive cardholder data. All payment information is tokenized and handled exclusively by PCI-DSS–certified payment gateway partners. Prices, fees, and billing structures may be updated periodically. Any changes will be communicated through email or posted on the MDBill website.
Your subscription or service request is not considered accepted until you receive confirmation via email, SMS, or an on-screen notification. If payment is not successfully authorized or completed, MDBill may suspend or restrict access to the Services until the issue is resolved.
7. Fees and Payment Terms
You agree to pay all fees and charges associated with the Services in accordance with the pricing, billing terms, and tax requirements in effect at the time such fees become due. Certain Services may require advance payment prior to use. All payments must be made in U.S. dollars only, unless we explicitly provide written permission to use another currency.
8. Return and Refund Policy
Payments made to us are generally non-refundable unless otherwise stated in a specific Service Agreement. However, in the event of a duplicate payment, mistaken payment, or other verified billing error, you may request a refund. Approved refunds will be returned to the original payment method within a commercially reasonable time frame. We reserve the right to request supporting documentation to validate any refund request.
9. PCI-DSS Compliance and Card Security
MDBill utilizes certified, PCI-DSS–compliant payment processors to ensure that all cardholder data is handled securely and in accordance with industry standards. MDBill itself does not store, process, or transmit sensitive payment card information beyond what is necessary for transaction verification and tokenization.
Although MDBill makes reasonable efforts to ensure payment security, we are not responsible for delays, outages, or failures originating from third-party payment networks, card issuers, or processors. Users agree not to bypass, misuse, or improperly transmit card information through unauthorized means.
10. Data Collection, Use, and Ownership
Your interaction with MDBill results in the collection of certain personal, transactional, and technical data. All data practices are governed by our Privacy Policy, which constitutes an integral part of these Terms.
Data Ownership
Patients retain ownership of their personal and payment information. Healthcare providers retain ownership of billing and practice-related data. AcerHealth receives only a limited license to process such data as needed to deliver platform functionality and comply with applicable legal and operational requirements.
Data Use
AcerHealth may use collected data to facilitate payments, reduce fraud, enhance platform performance, provide support, and meet regulatory obligations. Data may also be used to improve system functionality through aggregated and anonymized analytics, provided that no personally identifiable information is exposed.
Data Access, Export, and Deletion
Users may request access to, correction of, or deletion of their data by contacting MDBill support, subject to legally required retention periods associated with healthcare, financial, and compliance obligations.
11. Acceptable Use Policy
MDBill must be used responsibly and lawfully. You agree not to use the platform for fraudulent or deceptive billing, unauthorized processing of payments, or submission of inaccurate or misleading data. You may not introduce malware, attempt to gain unauthorized access, reverse-engineer platform components, or interfere with platform security or performance. Any misuse of the system may lead to immediate suspension, termination, and potential legal proceedings.
12. Service Availability, Maintenance, and Support
MDBill is provided on an “as available” basis. While AcerHealth strives to maintain reliable access, we do not guarantee uninterrupted availability. Scheduled maintenance, emergency repairs, outages from third-party providers, and unforeseen technical issues may temporarily affect functionality. Services and features may be modified, updated, or discontinued at AcerHealth’s discretion. Support is available through published communication channels on the MDBill website.
13. Disclaimer of Warranties
To the fullest extent permitted by law, MDBill is provided “as is” without any warranties, express or implied. AcerHealth disclaims all warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement. No advice or information provided by representatives of AcerHealth shall be deemed to create a warranty unless explicitly stated in writing. MDBill is not responsible for issues arising from third-party services, networks, data sources, or user-generated errors.
14. Limitation of Liability
To the maximum extent permitted under applicable law, AcerHealth Inc., MDBill, and their respective officers, directors, affiliates, and employees shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of revenue, data, business opportunities, goodwill, or profits. Liability is further disclaimed regarding service outages, payment processor delays, user-submitted inaccuracies, unauthorized access, or data alterations beyond our reasonable control.
Your sole and exclusive remedy for dissatisfaction with the Services is to discontinue use of MDBill.
15. Indemnification
You agree to indemnify and hold harmless AcerHealth Inc., its employees, officers, affiliates, and partners from all claims, liabilities, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, your submission of unauthorized or inaccurate information, or any breach of healthcare, financial, or data protection laws that occurs through your actions.
16. Third-Party Services
MDBill integrates with various third-party systems, including payment processors, communication services, hosting providers, and analytics platforms. Each of these entities operates under its own policies and contractual terms. AcerHealth is not responsible for the accuracy, reliability, availability, or security of services provided by third-party vendors and does not guarantee their performance.
17. Privacy Policy
Your use of the MDBill platform is subject to our Privacy Policy, which outlines how information is collected, used, stored, and safeguarded. By continuing to use MDBill, you acknowledge that you have reviewed and agree to the terms set forth in the Privacy Policy.
18. CalOPPA Compliance
In compliance with the California Online Privacy Protection Act, MDBill provides mechanisms for users to update, correct, or request deletion of personal information. Users may also inquire about how their information is used. MDBill does not currently respond to Do-Not-Track browser signals, consistent with the lack of a defined industry standard, but the platform does not use tracking for behavioral advertising or profiling.
19. Governing Law and Dispute Resolution
These Terms are governed by and shall be construed in accordance with the laws of the United States and the state in which AcerHealth Inc. is registered, without regard to conflict-of-law principles. Disputes arising under these Terms shall first be addressed through good-faith negotiation. If unresolved, the matter may proceed to binding arbitration or litigation, depending on legal requirements and jurisdictional rules. Users may be required to waive certain rights, including the right to participate in class-action lawsuits, where legally permissible.
20. Changes to These Terms
AcerHealth may revise these Terms periodically to reflect changes in operational practices, security requirements, regulatory obligations, or service offerings. Material changes will be communicated through email notifications or website postings. Continued use of MDBill after such changes constitutes acceptance of the updated Terms. Users who do not agree to revised Terms must discontinue use of the Services.
21. Consent
By accessing MDBill, creating an account, or using any Services, you consent to these Terms, the processing and handling of data as necessary to deliver platform functionality, and communications regarding your account, transactions, security notifications, and service updates.
